About:
The Legal Associate position will involve the provision of legal counsel support to the business's legal department in London, focusing primarily on supporting the legal team on fund formation, corporate and transactional matters.
The candidate can expect to gain significant knowledge and experience of a variety of fund types and investment deals across multiple jurisdictions, while simultaneously developing their legal drafting skills. Once familiar with the business’s documentation and business structures, the candidate should have the ability to work independently and receive projects directly from the operations and investment teams.
Key Responsibilities:
- Drafting and reviewing the business Credit’s standard agreements and maintaining saved records;
- Acting as primary point of contact for their alternative legal service provider, processing and assisting with NDA, release and/or reliance letter questions;
- Processing third party vendors through the third party risk management system, and reviewing, negotiating and executing vendor agreements;
- Creating projects and ensuring invoices are uploaded correctly to the internal legal cost track;
- Maintaining internal databases of fund information and updating templates including resolutions, authorised signatory lists, power of attorneys, proxy forms, etc;
- Maintaining internal databases for the business Credit entities and their respective directorships and authorised signatories;
- Drafting power of attorney documents, service agreements and maintaining up to date records of company signatories;
- Assisting with the execution of documents requiring a variety of formalities to meet different jurisdiction procedures;
- Collaborating with both the London and New York Legal and Compliance teams on an ad hoc basis to assist with responding to and complying with any regulatory changes/developments;
- Collaborating with both the London and New York Legal and Compliance teams on an ad hoc basis to assist with conflict clearances;
- Assisting with completing proxy forms;
- Assisting with signing and closing matters for direct lending and capital solutions transactions, which may include CP review, drafting of certificates, opinion review and other matters.
Requirements
- Excellent written and oral communication skills in English, with strong attention to detail;
- Thorough and accurate preparation of documents and proof reading skills;
- A good knowledge of Microsoft Outlook, Microsoft Word and Microsoft Excel;
- Ability to effectively understand and prioritise tasks to ensure that relevant deadlines are met;
- Ability to identify risks and ensure that any issues are resolved or escalated within the Legal team to meet objectives;
- A genuine interest in financial services and the alternative investment market;
- A motivated, pro-active, positive and professional attitude and enthusiasm for teamwork and learning;
- Previous similar experience would be beneficial but is not essential;
- A Law degree;
- Admitted attorney with 0-2 years’ PQE (preferred).
