Position summary
The Contract Manager is responsible for overseeing the comprehensive management of all commercial contracts entered into by Envusa and with specific reference to Power Purchase Agreements (PPA) and Energy Offtake Agreements (EOA). This role also ensures best practices are implemented consistently and provides contract-related support and advisory services to the Commercial team.
This individual will support the Commercial Team in contract negotiations with offtakers and generators and will ensure that Envusa timeously responds to all contract related queries meets all of its notification and reporting obligations under its commercial contracts.
This role involves direct working relationships with the internal support services such as Finance, Legal and the technical teams as well as external offtakers, generators and stakeholders.
Key tasks and responsibilities
The Contract Manager is responsible for the formulation, management and enforcement of the commercial contracts, specifically the Power Purchase Agreements and Energy Offtake Agreements and their associated documents.
This position provides Envusa leadership with oversight and advisory input into all contract management activities, and acts as a focal point for contract related matters throughout all phases of projects and for operations.
Contractual Leadership
- Support the commercial team in contract negotiations, including comprehensive risk assessment. Participate in the initial contracting stages to ensure the best adjustment of contractual commitments.
- Enforce contract provisions by applying contractual mechanisms and ensuring compliance with mutual obligations. Contribute to identifying contract strengths and weaknesses, and exercise ongoing due diligence to manage any related risks.
- Actively monitors the project progress in line with the contract schedule and ensure the parties adhere to the schedule.
Risk Identification and Mitigation
- Establish a framework for continuous monitoring of contract performance and compliance, minimizing financial or legal exposure.
Regulatory Compliance and Legal Assurance:
- Ensure that all contractual agreements align with the company's legal obligations and adhere to South African energy market regulations.
- Work closely with legal teams to address any potential compliance issues or contractual disputes.
Stakeholder Collaboration and Communication:
- Act as a primary liaison between Envusa the offtakers and generators to ensure clear communication and alignment on timelines and objectives.
- Manage contractual communications and contract amendments.
- Manage stakeholders effectively in line with the contractual obligations.
- Be effective in responding to the correspondences from various counter parties and ensure the interest of the Company is protected.
Dispute Resolution:
•Oversee and resolve any disputes that arise during contract execution, minimizing delays and ensuring favourable outcomes for the business.
Continuous Improvement and Reporting:
•Implement best practices in contract management and deliver ongoing improvements to contractual processes.
•Provide regular reports to senior management on contract status, risks, and project progress.
•Draft the execution assessment report and organise the sharing of lessons learned from the contract.
Qualification, skills and experience
•Bachelor's degree in law.
•Professional certification in contract management
•Minimum 7 Years of experience in Contract Management. Experience in the Renewables energy sector is advantageous.
•Demonstrated knowledge and experience in all facets of Contract Management.
•Business minded and ability to manage challenging stakeholder requests
•Experience with contract definition and negotiation
•Good documentation and communication skills in both oral and written English
