Job Summary
Absa CIB legal is currently looking for a project finance Legal Counsel. In this role we are looking for your legal expertise in order to identify and manage legal risk within CIB. You will also be the key point of contact on a day-to-day basis for the transaction team, and responsible for providing pro-active legal advice, support and risk management. This role involves providing dedicated legal support, putting in place a working model in order to maximise synergies between teams and business areas to ensure that they work together in the most effective way.

Job Description
The ideal candidate will:
- Assist in structuring, negotiating, drafting and vetting of legal agreements (CTA and facilities agreement and project agreements) and documentation relating to funding agreements, transactions and new products.
- Help to develop funding/lending structures and best practice guides for use within business.
- Address all probable risks by ensuring they are sufficiently covered in legal agreements drafted.
- Consider, comment, draft, vet, negotiate and give advice on documents/agreements for the business including but not limited to Request For Proposals, term sheets, mandate letters, expressions of interest, letters of support, security documentation, debt parallel structures, legal opinions, participation agreements, cross border lending, facility agent documentation, and primary lending facility documentation.
- Provide legal advice on transactions or deals to be done, or transactions that have been concluded, waivers, transaction management.
- Conduct legal due diligences on transactions (corporate authorisations, property, litigation, Authorisations, Licenses/permits), review lender technical and environmental due diligence, review insurance due diligence, review lender advisor engagement letters.
- Provide advice on capacity, procurement process, legality, the lawfulness and enforceability of agreements and documents.
Education
Bachelor Honours Degree: Law, Military Science and Security (Required)
