ROLE OBJECTIVES
To develop and maintain an effective legal, compliance, governance, policy management, company secretarial and human resource function within the organisation and to ensure the prudent management of legal risk across the organisation.
LEGAL
• Drafting and reviewing of legal contracts
• Obtaining legal opinions
• Managing litigation
• Managing external lawyers in relation to relevant legal matters
• Maintain the contract register (renewal, termination and notice)
• Custodian of the company risk register
GOVERNANCE COMPLIANCE
o Department of Labour
o Constitution
o AGM planning: compliance, resolutions, quorum etc.
o Executive Committee meetings: schedule, agenda, minutes, documentation, resolutions
o Liaise with Financial Manager, auditors, re annual financial statements
o CIPRO
o MOI compliance, Director registration etc.
o AGM planning: compliance, resolutions etc.
o Board Meetings: schedule, agenda, minutes, documentation
o Fincom Meetings: schedule, agenda, minutes, documentation
o Liaise with Financial Manager, auditors, re annual financial statements
o Master compliance
o Trustees
o Trustee Meetings
o Liaise with Financial Manager, auditors, re annual financial statements
REQUIREMENTS
• Must be an Admitted Attorney
• Minimum 5 years post articles experience in a similar Legal, Compliance and Governance role within a business environment
• Ideal for someone wanting a half day role
