The scheme secretary's overall duty is to help facilitate the proper functioning of the Board of Trustees.
The Scheme Secretary will perform all secretarial, legal and compliance functions relating to the Scheme, the Board of Trustees and its committees with the guidance of the Chief Financial Officer (CFO) and Scheme Relations
Act as the primary point of contact between the board of trustees, Board committees, EXCO, and external stakeholders.
Ensure compliance with all relevant regulations and legislation in South Africa, including the Medical Schemes Act, King IV Code of Corporate Governance (where deemed applicable to the Scheme), POPIA and other relevant legislation.
Engage with external legal advisors to assist with compliance to relevant regulations and legislation where required.
Ensure that all necessary documentation is prepared and filed with regulatory bodies in a timely and accurate manner, including annual reports, financial statements, and regulatory filings.
Manage all aspects of board and committee meetings, including preparation of agendas, meeting packs, minutes, and resolutions.
Ensure that all minutes are accurately captured and timeously finalised in line with the Scheme Rules and management requirements.
Responsible for duties that include but not be limited to coordinating board/committee meeting schedules, venues and the maintenance of scheme records.
