Location: Fully Remote
Contract Term: 3-Month Contract with a guaranteed completion bonus and 2 ratings-based performance bonuses
Base Salary: Competitive and commensurate with experience
Working Hours: 6-hour overlap with New York required. This role aligns with US working hours, typically from 14:00 - 20:00 (South African time), with flexibility to complete the remaining hours as preferred.
Role Overview:
As a Corporate Finance Specialist, you will conduct in-depth reviews of financials and business operations to prepare businesses for a sale or merger. Your expertise will be essential in presenting a clear, accurate picture of the business to potential buyers, enhancing trust, and supporting a favourable valuation. You’ll identify and mitigate risks, ensuring a smooth transaction and minimizing surprises. Your work will be crucial in maximizing the business’s value and appeal, contributing to a successful sale or merger.
Main Responsibilities:
- Drive core financial due diligence by pinpointing key risks and potential deal breakers, evaluating the business's strengths and weaknesses against industry benchmarks, and assisting in the assessment of the transaction within the client’s investment strategy.
- Analyze detailed financial statements, including income statements, balance sheets, cash flow statements, and key operational data. Convert this data into actionable insights that guide discussions with target management and shape observations and conclusions.
- Assess the quality of the target company's reported earnings, net assets, and cash flows.
- Assist in creating impactful deal-oriented reports and presentations that highlight critical financial, commercial, and other findings, including factors driving sustainable profits and cash flows. Support the team in integrating these findings into the client’s valuation, sale, or purchase agreement, and provide additional negotiating points.
- Participate in meetings and conference calls with target company management and client personnel, serving as a secondary contact for day-to-day execution matters.
- Actively contribute to building and maintaining client relationships and explore business development opportunities.
- Prepare comprehensive due diligence reports that summarize findings, highlight key issues, and offer actionable recommendations.
Qualifications and Requirements:
- Qualified ACCA, CA(SA), CIMA, or part-qualified with solid due diligence experience.
- At least 1-2 years of post-article experience in corporate finance (due diligence) within a firm/practice environment.
- Excellent understanding of corporate deal structuring and processes.
- Proficiency in advanced Microsoft Excel and PowerPoint.
- Strong analytical skills with the ability to interpret complex financial data.
- Excellent communication and presentation skills.
- High attention to detail and strong organizational skills.
- Ability to manage multiple projects and meet tight deadlines in a fast-paced environment.
